These terms govern use of the H4M workspace, operated by H4M & E LLC, trading as H4M Matchmaking. H4M is a professional tool for matchmaking practices, not a consumer dating service.
1 · The agreement
By signing in to H4M you agree to these terms and to the Privacy Policy. If you use H4M on behalf of a practice, you confirm you are authorised to accept on its behalf, and "you" means both you and that practice. If a separate written agreement exists between us, it prevails where it conflicts with these terms.
2 · Eligibility and access
Access is by invitation only and limited to matchmakers and staff authorised by the practice. You must be at least 18. We may decline, suspend, or withdraw access to any account.
3 · Accounts and security
Accounts are personal and must not be shared. Keep your credentials confidential, use any additional account protections we offer, and tell us promptly at [email protected] if you suspect unauthorised use. You are responsible for activity under your account.
4 · Client data and your responsibilities
You keep ownership of the records you enter. You grant us a limited licence to host, process, back up, and display that content solely to provide the service. You are responsible for having a lawful basis and any necessary consent to enter a client's information, including sensitive details, and for the accuracy of what you record.
Do not enter payment card numbers, government identity numbers, or health records. Where data-protection law applies, the practice is the controller and we are the processor; our processing terms are available on request.
5 · Connecting Google Calendar
Connecting a calendar is optional and requires your authorisation through Google. You confirm you are entitled to connect that account. Your use of Google services remains subject to Google's own terms. Our handling of calendar data is described in section 3 of the Privacy Policy; we use it only to provide the scheduling features you see in the app. Note that bookings H4M writes to your calendar carry client names in the title and your booking notes in the description — consider that before sharing the connected calendar with others. You may disconnect at any time, and we may suspend the integration if Google's policies or APIs require it.
6 · Acceptable use
Do not use H4M to break the law, harass anyone, or misrepresent a client; do not attempt to access another practice's data; do not probe, scan, or interfere with the service or its security; do not scrape, resell, or reverse-engineer it, or use it to build a competing product; do not upload malware. Recording, exporting, or sharing client information outside the practice's own lawful purposes is a breach of these terms.
7 · Availability, changes, and support
We aim for continuous availability but do not guarantee it. Planned maintenance is announced in advance where practical. Features may change, and we may retire a feature with reasonable notice if it materially reduces functionality. Support is provided by email during business hours.
8 · Fees
Where fees apply, they are set out in the practice's order or subscription. Fees are invoiced in advance, are non-refundable except as required by law, and are exclusive of taxes. Unpaid accounts may be suspended after notice.
9 · Intellectual property
We own the software, design, and trade marks in H4M; you receive a non-exclusive, non-transferable right to use it during your subscription. You own your content. Feedback you send us may be used freely to improve the service, without obligation to you.
10 · Confidentiality
Each side will protect the other's confidential information with at least reasonable care and use it only for this agreement. Client records are treated as your confidential information.
11 · Disclaimers
H4M is provided "as is". To the extent the law allows, we disclaim implied warranties of merchantability, fitness for a particular purpose, and non-infringement. H4M is a record-keeping and scheduling tool: it does not guarantee any matchmaking outcome, and we are not responsible for decisions you or your clients make using it, or for the accuracy of third-party services including Google Calendar.
12 · Limitation of liability
Neither side is liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, goodwill, or data, however caused. Our total liability arising out of or relating to the service is limited to the fees paid in the twelve months before the claim, or [cap amount — to be set by counsel] where no fees were paid. These limits do not apply to death or personal injury caused by negligence, fraud, or any liability that cannot lawfully be limited.
13 · Indemnification
You will defend and indemnify us against third-party claims arising from your content, your use of the service in breach of these terms, or your failure to obtain the consents described in section 4.
14 · Term and termination
These terms apply while you have an account. You may stop using H4M at any time and ask us to close your account. We may suspend or terminate access for material breach, for legal reasons, or on notice at the end of a subscription term. On termination you may request an export of your content within 30 days, after which we delete it as described in the Privacy Policy. Sections 4, 9, 10, 11, 12, 13, and 15 survive.
15 · Governing law and disputes
These terms are governed by the laws of the State of Texas, without regard to conflict-of-laws rules, and the state and federal courts sitting in Travis County, Texas have exclusive jurisdiction. We will each try in good faith to resolve a dispute informally first. Nothing here removes a consumer's mandatory local rights.
16 · Changes and contact
We may update these terms; material changes are notified by email or in the app at least 30 days before they take effect, and continued use afterwards is acceptance. Questions: [email protected].
